Honeydrip Coffee Co. — B2B Wholesale Terms of Service

Welcome to the Honeydrip Coffee Co. family. We operate under a friendship-first partnership philosophy rather than rigid corporate contracts. However, to maintain our zero-overhead, specialty-grade, small-batch roasting operations, all wholesale accounts must strictly adhere to the operational safeguards and financial workflows detailed below.
By registering a B2B "Companies" account with Honeydrip Coffee Co., submitting a partnership application, or clearing a wholesale invoice, you (referred to as "The Partner" or "Wholesale Buyer") agree to be legally bound by these terms.

1. The Financial Workflow & Production Loop (Pay-Up-Front Model)
To maintain a 100% debt-free liquidity model and deliver absolute freshness, we operate a strict pay-up-front production schedule:
  • The Wednesday Ordering Deadline: All wholesale purchase orders must be finalized and submitted through the Shopify B2B portal by Wednesday at 11:59 PM PST to be included in the upcoming week’s roast batch.
  • The Thursday Payment Window: Digital invoices are issued immediately upon order submission and must be cleared and paid in full by Thursday at 12:00 PM Noon PST.
  • Late Payment Production Push: Because our manufacturing partner (Temecula Coffee Roasters) operates on a strict, small-batch Monday morning roasting cycle, any invoice not paid by Thursday at 12:00 PM Noon PST will automatically have its production and fulfillment pushed to the following week’s roast run.
  • No Credit Terms: Honeydrip Coffee Co. does not offer credit terms (such as Net 15, Net 30, or Net 60). No coffee roasting or inventory allocation will ever take place until the Partner's funds have cleared in full.

2. Minimum Order Requirements (MOQ)
  • Coffee Minimums: To unlock wholesale tier pricing, orders must hit a strict 15 lb per-order minimum. This rule is automatically enforced within the Shopify checkout system. Partners have total operational flexibility to mix and match any three different 5 lb bulk bags across our Tier 1, Tier 2, and Tier 3 menus to meet this minimum.
  • Matcha Minimums: Orders for our Ceremonial Grade Matcha Program are subject to a strict one case minimum, which consists of 12 individual 1 oz retail pouches per case.

3. Fulfillment, Logistics, & Regional Delivery Routes
  • Free Nationwide Shipping: All wholesale orders meeting or exceeding the 15 lb minimum qualify for free standard shipping nationwide.
  • Local Hand-Delivery Route: Independent operators located along our Chino Hills / Southern California route loop may qualify for face-to-face hand-delivery on Friday mornings. Local route assignment is determined solely at the discretion of Honeydrip Coffee Co. based on weekly route volume and scheduling availability.
  • Drop-Ship Logistics Liability: Honeydrip Coffee Co. operates its administrative headquarters in Chino Hills, CA, and utilizes certified third-party specialty commercial roasting and fulfillment facilities. We are not legally or financially liable for shipping delays caused by carrier transit disruptions, weather, natural disasters, or inaccurate shipping and delivery information provided by the Partner.

4. Menu Grinder Safety & Public Allergen Disclosures
  • Commercial Espresso Grinder Restriction: Partners explicitly acknowledge and agree that flavored coffee selections (including but not limited to Nut House Cinnamon Hazelnut, Vanilla Porch French Vanilla, and Golden Girl Caramel) are formulated strictly for commercial batch/drip brewers and airpots. Flavored coffee beans must never be run through commercial espresso grinders, as flavoring oils build up instantly and damage espresso burrs. The Partner assumes full financial responsibility for their own equipment damage if this rule is violated.
  • Mandatory Public Allergen Notice: For public health safety, any Partner serving or brewing our Nut House flavored blend must clearly display a prominent "Contains Nut Allergens" notice on their physical menu boards or digital point-of-sale customer screens. The Partner assumes all liability for a failure to disclose food allergens to the end consumer.

5. Product Quality Benchmarks & Perishable Return Policy
  • Specialty-Grade Quality Guarantee: Honeydrip Coffee Co. guarantees that all menu coffees are certified specialty-grade, scoring 80+ points on the official quality scale. We completely reject cheap commercial fillers.
  • All Sales Are Final: Because specialty coffee is a fresh, highly perishable agricultural product roasted custom-to-order, we cannot accept returns, exchanges, or refunds on coffee or opened matcha products. If a fulfillment error occurs on our behalf, contact customer support within 48 hours of delivery to arrange a replacement run.

6. Mutual Term and Termination
  • Freedom of Operation: In alignment with our friendship-first model, neither party is bound to long-term volume lock-ins. Either Honeydrip Coffee Co. or the Partner may terminate the wholesale relationship at any time, without penalty, by providing written notice or by simply ceasing to place weekly orders.
